The role

We are looking for an experienced and dynamic Senior Legal Officer to join an international team of professionals in our Luxembourg office on a full-time permanent basis. You will be working alongside our global offices and in frequent communication with international teams. As the Senior Lawyer for our Luxembourg operations, you will be instrumental in shaping the legal strategy of our expanding European presence. This role is key to ensuring that our operations, including banking products and services, comply with Luxembourg's regulatory framework and EU banking laws. You will leverage your strong knowledge of Luxembourg’s banking regulations, maintain relationships with local and European regulators, and support the business as it navigates new markets in Europe. You will be pivotal in establishing the legal foundation for our European strategy, ensuring compliance, and guiding our teams through the complexities of Luxembourg’s legal and regulatory environment.

Responsibilities

  • Regulatory Compliance & Strategy: Provide legal counsel on regulatory requirements, focusing on Luxembourg banking laws and European Union banking regulations. Ensure the bank's European expansion aligns with regulatory expectations.
  • Relationship with Regulators: Develop and maintain strong, effective relationships with Luxembourg's regulators (CSSF) and other key EU regulatory bodies. Act as the main point of contact for regulatory matters in Europe.
  • Banking Products & Services: Advise on the development, launch, and compliance of banking products and services in Luxembourg, including retail banking, corporate banking, payments, and digital banking offerings.
  • Risk Mitigation & Legal Compliance: Identify and manage legal risks associated with banking operations in Luxembourg and the broader European market. Provide guidance on mitigating risks and maintaining the bank’s reputation and legal standing.
  • Cross-Border Legal Advisory: Provide legal support for cross-border transactions, strategic partnerships, and financial arrangements as the bank expands its footprint across Europe.
  • Legal Documentation & Contract Management: Draft, review, and negotiate contracts related to banking operations, strategic partnerships, and regulatory filings.
  • Internal Legal Framework: Work closely with local and global legal teams to establish internal policies and procedures for operating within European regulations while supporting business goals.
  • Monitoring Regulatory Changes: Stay up to date with changes in European and Luxembourg banking regulations, ensuring timely compliance adjustments and providing proactive legal guidance.

Essential Skills & Experience

  • Qualifications: Law degree (Master of Laws or equivalent) from a recognized university; admission to practice law in Luxembourg, Brazil, or another EU jurisdiction.
  • Experience: At least 7-10 years of experience as a lawyer specializing in banking and financial services law, preferably with experience in both Brazilian and European legal frameworks.
  • Luxembourg Banking Law: Expertise in Luxembourg’s banking regulatory environment, including knowledge of the Commission de Surveillance du Secteur Financier (CSSF) and EU banking regulations.
  • Knowledge of EU Regulations: Strong understanding of EU banking laws, especially in relation to cross-border financial services, payments, and digital banking.
  • Banking Products & Services: In-depth knowledge of a wide range of banking products, including retail and corporate banking, lending, payments, and digital banking services.
  • Cross-Cultural Expertise: Experience working in or with international teams, especially with a focus on both Brazilian and European legal systems and business practices.
  • Languages: Fluency in English is essential, with proficiency in Portuguese and/or French being highly advantageous.
  • Qualifications: Master’s degree in Law or equivalent legal qualification with a specialization in banking or financial law. Additional qualifications in EU law or international finance are a plus.

Interfaces

Internal:

  • Management Team (Brazil and Luxembourg): Collaborate with senior leadership in Brazil and Europe to ensure strategic decisions align with legal and regulatory frameworks in Luxembourg.
  • Compliance & Risk Management: Work closely with internal compliance and risk management teams to ensure alignment with regulatory standards and mitigate legal risks.
  • Business Development & Product Teams: Advise on legal considerations related to new banking services, products, and strategic partnerships, particularly as the bank expands into new European markets.
  • Global Legal Team: Collaborate with the bank's global legal department, ensuring alignment of legal practices and strategies between Brazil and Luxembourg.

External:

  • Regulatory Authorities (CSSF, ECB, etc.): Act as the main point of contact with Luxembourg’s financial regulators and other relevant EU bodies to ensure ongoing compliance with local and international laws.
  • External Counsel: Collaborate with external legal advisors, when necessary, particularly for specialized matters or to support the expansion strategy.
  • Clients/Business Partners: Represent the bank in legal matters related to partnerships, transactions, and cross-border operations within the European market.
