What you will do

We are looking for a smart, hands-on and determined professional to fulfill a critical position within our Fund Legal and Governance Team. You will showcase your success through collaboration, ownership and innovation. The Fund Legal and Governance team sits within the Fund Operations team and currently consists of seven individuals in addition to this role. As a new member, you will closely work with a Manager in the team on series of alternative investment funds with different investment profiles.  

 

What you can expect

  • Supporting day-to-day legal and corporate administration of the assigned alternative investment funds 
  • Drafting and reviewing various legal documents in a fund and/or company’s life cycle: incorporation deeds, board and shareholder resolutions, power of attorneys, share registers, internal funding documents (115 contribution, shareholder loans), UBO declarations, engagement letters, liquidation documentation, capital calls and distribution documents, etc.; 
  • Organising quarterly and ad-hoc board, investment and/or advisory committees’ meetings for Luxembourg AIFs and SPVs: convening notices, agendas, meeting materials, preparation and execution of respective meeting minutes  
  • Supporting and coordinating execution of various legal documents by authorised signatories in electronic and wet-ink version 
  • Collaborating efficiently and effectively with various internal teams as well as third party stakeholders 
  • Supporting transactional activity (acquisitions, disposals, financings) 
  • Supporting fund investors’ related activity (closings, capital calls, distributions, transfers) 
  • Handling AML/KYC requests 
  • Assisting for timely registrations at the Chamber of Commerce and other obligatory registrations and filings 
  • Maintaining internal databases and corporate calendars 
  • Involvement in internal projects towards standardisation and rationalisation of existing processes 

What you will bring

  • Strong academic background: relevant degree in law, business administration or similar  
  • At least three years of relevant work experience (e.g. in a law firm, service provider or fund manager) 
  • Experience in working in an international and multicultural environment and having a global mindset  
  • Enthusiastic, Strong capacity for teamwork, motivation and reliability, resilience as well as service-oriented approach 
  • Ability to develop solutions independently 
  • Good interpersonal skills, capability to interface professionally with various internal and external stakeholders 
  • Strong planning and organisation skills with excellent personal time management and communication skills 
  • Good Microsoft Office skills, competence with other applications is an asset 
  • Fluent in English with clear and strong verbal and written communication skills required; French, German or Italian is an advantage
