As a Senior Corporate Officer, you will provide legal and company administration services to a portfolio of clients and be progressively exposed to high-risk clients under the supervision of your manager. You will also competently and autonomously manage a more complex workload and carry out duties in accordance with policies and procedures, legal/regulatory requirements, service levels and Apex standards to meet business expectations.

To give you an idea of how this role would look and feel, here are some of the things you could expect to do:

  • Prepare relevant documents, including bylaws, corporate documentation and KYC documentation, open bank accounts and create administrative records and controls to incorporate and set up a new client company
  • Ensure all company records and statutory registers are properly maintained and updated on a timely basis
  • Prepare, convene and hold general and extraordinary shareholders meetings, including communication with notaries, to ensure that meetings are validly held, and decisions are properly recorded
  • Organise board meetings and prepare and distribute board packs.
  • Attend board meetings, where necessary, including contribution within level of experience and prepare draft minutes on a timely basis.
  • Liaise with the Accounting Teams to seek clarification on queries and accounting information in preparation of board and shareholder meetings.
  • Build relationships with intermediaries, third parties.
  • Manage the company files daily to ensure that all relevant documents are correctly filed on a timely basis.
  • Ensure that all weaknesses/incidents identified in relation to service delivery are properly reported to line manager.
  • Maintain awareness of risks involved in legal and company administration activity and understand risks involved in activities carried out and with respect to own clients’ portfolio.

Qualifications and skills:

  • Degree in law, tax or business administration.
  • At least 3 year working experience in a corporate, legal and/or tax-related environment.
  • Able to review and understand (with support of line manager) legal and tax restructuring memos as they apply to Luxembourg companies.
  • Intermediate level of understanding of Luxembourg company law.
  • Ability to draft Luxembourg articles of association.
  • Ability to draft minutes of board meetings and various other resolutions.
  • Able to attend board meetings with clients and intermediaries to take detailed minutes.
  • Ability to draft the board meeting and annual general meeting for approving annual accounts.
  • Ability to draft document to amend the board of managers or share purchase agreements for the sale of shares and all legal documentation in general.
  • Ability and desire to work with tight deadlines.
  • Good interpersonal skills to develop working relationships with colleagues, other divisions / offices and professional intermediaries.
  • Excellent organisational skills.
  • Fluency in English and ideally knowledge of other languages.
