You will work as a Senior Legal Officer in IQ-EQ’s internal Legal Department in Luxembourg. The Legal Department is composed of a small team of lawyers all driven by a strong team spirit. It occupies itself with reviewing any legal blocking points in any kind of agreements (both client-focused ones and internal ones), legal risk management, legal support with roll-out of new products and business lines and general legal queries raised by the Business and various stakeholders internally. In addition, the Legal Department acts as escalation point for the Business Implementation team with respect to client onboarding and contract negotiations.
As a Senior Legal Officer you will draft, review and negotiate legal documents to which IQ-EQ companies based in Luxembourg are parties to and assist generally on legal matters. Your day to day will be, mainly, to draft and manage agreements and other legal documents, mitigating risks for clients’ companies (both funds and corporate entities) as well as for IQ-EQ companies based in Luxembourg. This will encompass for instance (but not limited to) reviews of domiciliation and central administration services agreement, directorship agreement, depositary agreement, AIFM agreement, marketing agreement, AML/CFT Officer agreement, data processing terms, etc.
You will also provide support and assistance for inter-company agreements and/or IQ-EQ service provider agreements and issue and/or oversee arrangements for their drafting and execution. You may also be requested to review or prepare ancillary documents.
You will support the Business by reviewing documents, agreements and answering different legal queries raised.
You'll proactively progress action points and work effectively with key stakeholders to deliver projects and implement changes.
You will deliver effectively in due time on all tasks and ad hoc duties as requested and required to support the Legal Department as well as the Business. You will liaise with other IQ-EQ lawyers across the wider Continental Europe region and other regions such as APAC, the Americas and the UK and Crown Dependencies, as well as other units and service lines of the IQ-EQ Group to deliver a consensus and consistent approach on particular topics as required.
You will actively research and investigate specific topics, advise and prepare memoranda & reports linked to specific projects and legal issues. You will be responsible for keeping up to date on new laws and regulations that could potentially affect the Business.
