What you can expect

The Fund Legal and Governance team sits within Fund Operations The management span of the role assumes effective supervision of the work performed by external parties. You will monitor, guide and control external service provider(s) in compliance with a vendor governance program. Board positions on fund SPVs or other fund related legal entities will be offered. The role holder reports to the Head of Fund Legal and Governance, based in Luxembourg and responsibilities include:

  • Act as the deputy of the head of the Fund Legal and Governance team, leading, developing and coaching the team and pitching in to solve complex or sensitive matters and act as a contact of escalation in day-to-day tasks.
  • Support the Head of Fund Legal and Governance in leading or supporting various projects and broader initiatives within the firm.
  • Direct report to several analysts, associates and managers.
  • Responsibility for the effective oversight of several alternative investment funds from a legal administration and governance perspective.
  • Communicating directly to the AIFM board and conducting officers, acting as an expert on legal administration and governance, and being able to make constructive proposals.
  • Ensuring information submitted to the governing bodies of the managed funds/fund SPVs are both complete and neutral, and decisions taken are implemented.
  • Collaborating efficiently and effectively with 3rd party service providers (including fund and corporate administrators, depositaries, banks and advisors) and in-house corporate secretarial function including managing the coordination of their activities with other stakeholders. Discussing, agreeing and approving master service agreements, fees schedules, operating memorandums.
  • Based on an overall review of the fund administration activities, managing risks by identifying issues and taking  proactively appropriate actions.
  • Communicating effectively with other members of the team, fund controllers, investors/clients, tax advisors, banks, auditors, law department and outside legal counsels. Collaboration with Fund Controlling, Asset Management, Portfolio Management and Transactions teams on legal and governance matters including support in acquisitions, dispositions, (re)financings and execution of business plans.
  • Supporting the Global Investor Services function on managing investor on-boarding and investor transactions.
  • Reviewing legal documents prepared by fund and corporate administrators and outside legal counsel e.g. board minutes, shareholders resolutions, agreements, loans, share transfer agreements, POA’s, resolutions to amend the articles of association; ensuring the completeness and accuracy thereof and processes involved in the execution thereof.
  • Supervision of fund and SPV incorporations and liquidations, or changes to the domicile of entities.
  • Arranging for the nomination/resignation of directors/managers and supervision of the registration and ongoing maintenance of registers of beneficial owners.
  • Arranging for the opening of bank accounts and designation of bank authorities/signatory powers (or supervision thereof).
  • Arranging for timely registrations at the Chamber of Commerce and other obligatory registrations and filings.
  • Ensuring the timely publication of adopted annual accounts or other relevant matters.
  • Maintaining contact with and consulting outside counsels whenever necessary on behalf of the firm or managed funds, as well as on behalf of (and in consultation with) investors/clients requesting services from outside counsels and to monitor progress thereof. Likewise for notarial matters.
  • Maintaining corporate calendars, action plans and corporate fact sheets as necessary for control and continuity purposes.
  • Complying with local policies and procedures, supporting the strong operating risk, governance and control framework in place to meet all regulatory and statutory obligations.
  • Providing training, coaching and support to team members and participating in recruiting processes if needed.

What you will bring

  • Strong academic background: relevant degree level required in law/legal studies or similar.
  • At least eight years of relevant work experience (e.g. in a law firm, service provider or fund manager) with prior experience of managing a team as an advantage.
  • Passionate about people and team-management.
  • Good commercial and negotiation skills / ability to impart know how and encourage others to find solutions on their own.
  • Ability to work in a fast-paced environment, with flexibility to adapt.
  • Proactive hands on mentality / can-do attitude / inquisitive and self-motivated.
  • Strong decision making skills and accuracy where needed and ability to put tasks, duties and challenges into the big picture.
  • Highly organized, self-motivated with excellent personal time management and communication skills.

  • Good interpersonal skills, team player, capability to interface professionally with various internal and external stakeholders.
  • Ability to work on cross border structures and to collaborate with colleagues from offices in Germany, UK, France, Italy, Switzerland, U.S. and Asia.
  • Fluent in English with clear and strong verbal and written communication skills required; French, German or Italian is an advantage.
