This is a great opportunity to join a fast-growing AIFM and contribute actively to its development and evolution. The Legal Counsel will report directly to the Conducting Officer in Charge of Legal & Tax.

Fixed term contract - 7 month
 

The position 

As Legal Counsel you will be responsible for a wide range of activities. Your responsibilities will include but will not be limited to: 

  • Support on proper legal life of the AIFM, i.e. corporate legal matters
  • Manage your own portfolio of funds
  • Liaise with global clients, lawyers, investment managers and other service providers and coordinate fund setup
  • Review of fund documentation (i.e. offering document, LPA, articles of incorporation, side letter)
  • Draft and negotiate fund agreements (i.e. AIFM, investment advisory, portfolio manager, depositary agreement and facility agreements)
  • Coordinate with Central Administration and Depositary service providers during the fund setup (client on boarding) and the fund day-to-day activity
  • Actively participate in the day-to-day management of the AIFM and assisting in its proper corporate governance
  • Draft legal documents (circular resolutions, proxies…)



Your profile 

  • Have a university degree in Law
  • Have minimum 2 years of relevant experience in the fund industry (preferably coming from AIFM management company or Law Firm with relevant experience in AIFs setup)
  • Have a good knowledge and understanding of the Luxembourg fund industry and AIFM regulations 
  • Have strong drafting skills in English with a high level of accuracy and attention to detail
  • Have a client focus with a solution mindset and a hands-on approach
  • Have proven ability to work autonomously and demonstrate initiative
  • Are also a team player with good communication skills
